Non‑Commercial Use by Default. Except where you and Atombio have executed a separate Commercial Service Agreement (or paid enterprise order form) expressly authorizing commercial use, your access to the Service and to any Outputs is limited to Non‑Commercial Research under these Terms.
These Terms of Use govern your access to and use of AutoNA's mRNA optimization services. By using our platform, you agree to maintain account security, respect intellectual property rights, and acknowledge our liability limitations. We may update these terms periodically, and your continued use constitutes acceptance of any changes.
License to Use (Academic / Non‑Commercial Tier)
Subject to these Terms, Atombio grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service solely for Non‑Commercial Research (the “Academic Tier”). “Non‑Commercial” means use not primarily intended for or directed to commercial advantage or monetary compensation.
Commercial use (including any use by or on behalf of a for‑profit entity) requires an executed Commercial Service Agreement or paid enterprise plan with Atombio. Contact founders@atombio.ai.
Output Terms
Outputs produced by the Service are for theoretical research only. They are not intended, validated, or approved for clinical, diagnostic, or therapeutic use, or for safety‑critical decisions.
Output Commercialization
You receive a limited, non‑exclusive, non‑transferable license to use outputs (e.g., sequences, designs, predictions, scores) generated by the Service solely for Non‑Commercial Research. Any Commercialization of outputs—including making, having made, using, selling, offering to sell, importing, licensing, sublicensing, providing services based on, or submitting to regulators—requires a separate commercial license from Atombio obtained before such activity. For clarity, publishing academic papers, posters, or talks is permitted with required attribution (§8).
Definition – “Commercialization.” Any activity primarily intended for or directed toward commercial advantage or monetary compensation, including but not limited to: (i) product or service development, manufacturing, marketing, or sale; (ii) fee‑for‑service or sponsored research for a for‑profit entity; (iii) regulatory submissions (e.g., IND/IDE/510(k)/PMA/EMA equivalents) or clinical use; (iv) patent filing or prosecution practicing claims that rely on the outputs; or (v) licensing or sublicensing outputs or derivatives for value.
Additional Restrictions on Output and Derivatives. You must not use nor allow others to use any Output or Derivatives: (a) on behalf of a commercial organization or in connection with any commercial activities, including research on behalf of a commercial organization, or in any way that grants a commercial organization any rights in Output or Derivatives—except indirectly via a scientific publication, open‑source release, or to support journalism; (b) with any automated system that predicts binding or interaction of proteins with nucleic acids, including but not limited to docking and screening workflows; or (c) to train, fine‑tune, evaluate, or otherwise develop machine‑learning models or related technology for biological sequence generation.
Transition to commercial projects. If your project transitions to commercial intent, contact founders@atombio.ai to secure a commercial license prior to any commercial activity or disclosure of outputs to a for‑profit counterparty.
Prohibited Uses (non‑exhaustive)
You must not:
A. Commercial / Competitive
- Use the Service or outputs for commercial purposes or on behalf of a for‑profit entity without a commercial license.
- Use or allow others to use Output or Derivatives on behalf of, or in connection with activities of, a commercial organization; or share/use Output or Derivatives in a way that grants a commercial organization any rights in Output or Derivatives, except indirectly via a scientific publication, open‑source release, or to support journalism (see §4A).
- Train, fine‑tune, or evaluate models for nucleic‑acid design or closely related biomolecular‑design tasks using the Service or its outputs in a way that replicates or competes with the Service.
B. Medical / Safety‑Critical
- Use the Service or outputs for any clinical, diagnostic, therapeutic, or medical‑device purpose, or where failure could result in death, personal injury, or significant environmental or biosafety harm.
C. Abuse / Security
- Attempt to circumvent access controls, rate limits, or security; conduct scraping, bulk or automated harvesting of outputs; or access the Service via unauthorized means.
- Reverse engineer, decompile, or attempt to extract underlying models or datasets, except as permitted by law.
- Use the Service for illegal or harmful activities, including the creation, acquisition, or dissemination of prohibited/controlled biological agents or materials, or any activity violating applicable biosecurity/biosafety norms or export controls.
D. Automated Binding/Interaction, Docking, Screening
- Use any automated system that predicts binding or interaction of proteins with nucleic acids, including but not limited to docking and screening workflows, with Outputs or Derivatives.
- Use AutoNA results to train machine learning models or related technology for biological sequence generation.
E. Misrepresentation / Attribution
- Misrepresent outputs as experimental measurements; omit required attribution (see §8) in academic publications; imply endorsement by Atombio.
- Publish or distribute Outputs or Derivatives without conspicuous notice that they are provided under and subject to these Terms of Use, including disclosure of any modifications you make to Outputs (see §8A).
Rate Limits; Fair Use
We may impose or adjust rate limits, job caps, storage limits, or other technical controls to protect the Service. Do not attempt to bypass or defeat these controls.
Data & Privacy
You retain ownership of your input sequences and outputs. You grant Atombio a worldwide license to host, run, and process your inputs/outputs to provide the Service and to improve it (e.g., aggregate statistics, system performance), subject to our Privacy Notice. If you need an opt‑out or DPA, contact founders@atombio.ai.
Attribution & Publications
If you publish work using the Service or outputs, include a citation to the tool (e.g., "Manuscript link coming soon”) and any relevant papers listed on our website. Provide sufficient method details so results are reproducible.
8A. Downstream Notice & Pass‑Through Terms
When you publish or distribute Outputs or Derivatives for research purposes, you must provide conspicuous notice that such materials are provided under and subject to these Terms of Use, and clearly identify any modifications you made. If you remove the notices and terms we provide, you must ensure any further publication or distribution of Outputs or Derivatives is accompanied by a “Legally Binding Terms of Use” text file that contains the following notice (or a functional equivalent):
“By using this information, you agree to AutoNA Terms of Use found at **https://atombio.ai/s/terms**.”
IP Rights
We (and our licensors) own the Service, models, and associated IP. Except for the academic research license above, no rights are granted by implication, estoppel, or otherwise. Feedback you provide may be used to improve the Service without restriction.
Third‑Party Content
Some components may be provided under separate licenses. You must comply with their terms.
Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Atombio WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
Suspension; Termination
We may suspend or terminate access for breach or risk to the Service. You may stop using the Service at any time. Sections that by nature should survive (e.g., §5–§13) will survive termination.
Export; Sanctions; Compliance
You are responsible for complying with export control, sanctions, and biosecurity/biosafety laws and institutional approvals applicable to your use.
Governing Law; Venue
These Terms are governed by the laws of [Jurisdiction], without regard to conflicts‑of‑law rules. Exclusive venue lies in the courts located in [Venue].
Changes
